On December 10, 2025, the 15th National Assembly approved Law No. 131/2025/QH15 amending and supplementing a number of articles of the Law on Intellectual Property and Law No. 115/2025/QH15 amending and supplementing a number of articles of the Law on Technology Transfer. Both of these laws take effect from April 1, 2026, marking a notable adjustment step in the legal framework related to intellectual assets and technology transfer activities in Vietnam.

1. The 2025 Amended Law on Intellectual Property
Regarding the Law amending and supplementing a number of articles of the Law on Intellectual Property, one of the notable points is the approach toward intellectual assets within enterprises.
Accordingly, the Law supplements regulations on the recognition and management of intellectual assets. In cases where intellectual assets do not yet meet the conditions to be recorded on the balance sheet according to accounting law, enterprises must still establish a separate tracking list for internal management purposes. This is considered a basis for step-by-step standardizing the management of Intellectual Property in production and business activities.

Besides, the Law continues to affirm and expand the commercial exploitation of Intellectual Property rights. Owners can use Intellectual Property rights to perform civil, commercial, and investment transactions. Simultaneously, the State encourages the use of these rights for capital contribution or mortgage according to relevant legal regulations.
Law No. 131/2025/QH15 also focuses on administrative reform and digital transformation, with an orientation to shorten processing times, expand electronic filing forms, and step-by-step automate professional processes. This aims to enhance transparency while reducing time and costs for organizations and individuals when performing industrial property procedures.
Another new content is the clarification of principles regarding products generated by Artificial Intelligence (AI). The Law determines that AI is not a subject of Intellectual Property rights; protected objects are still linked to human creative elements. At the same time, the exploitation of Intellectual Property data for AI research and training is permitted but must ensure no infringement of the legal rights and interests of the owner.

In addition, the Law also expands the scope of protection for a number of new objects and supplements regulations related to the protection of Intellectual Property rights in the digital environment, contributing to adapting to actual developments in the digital economy.

2. The 2025 Amended Law on Technology Transfer
The Law amending and supplementing a number of articles of the Law on Technology Transfer was issued to update new technologies such as digital technology, green technology, and clean technology. At the same time, it supplements monitoring tools, statistics, and current technology transfer support policies.
In the new content of the Law on Technology Transfer, the concept of “green technology” is established towards the efficient use of resources, energy saving, emission reduction, and environmental friendliness. On that basis, the State directs priority and encourages transfer activities for green technology, high technology, strategic technology, and technologies serving sustainable development.
The 2025 amended Law also clarifies the rights to transfer and commercialize technology. Technology owners have the right to assign ownership or usage rights; the transferee can continue to improve, develop, and exploit the technology according to agreements and legal regulations. In cases where technology is integrated into products, machinery, equipment, or systems, the rights to the technology must be determined separately.

Besides, the Law emphasizes the role of the State in supporting and developing the science and technology market through tools such as technology innovation funds, preferential policies on tax, investment, land, credit, and the construction of technology database systems. Simultaneously, it encourages the participation of intermediary organizations to connect technology supply and demand between enterprises, research institutes, and training facilities.
The Law also clearly stipulates contents related to the rights and obligations of parties in technology transfer activities, as well as transitional provisions to ensure continuity for contracts and dossiers signed or received before the law takes effect.

It can be seen that the amended Law on Intellectual Property contributes to perfecting the mechanism for bringing intellectual assets deeper into market activities, while the amended Law on Technology Transfer creates conditions for expanding access to and application of new technologies and green technologies, promoting technology transfer flows in a more efficient direction.
The fact that these two laws both take effect from April 01, 2026, is expected to create a synchronous change in the legal system regarding science, technology, and innovation. Thereby, creating more favorable conditions for research, application, and technology transfer activities and improving the efficiency of exploiting Intellectual Property assets in practice.
This is a substantive change for the innovation environment, competitive capacity, and sustainable development goals of the economy in the coming period.
